Terms of Use

1. Acceptance
These Terms of Use (“Terms”) govern your access to and use of the Nudgee mobile application and related services (collectively, the “Service”), operated by WinWin Innovation Services (“Nudgee,” “we,” “us,” or “our”), registered in India. By installing or using the Service, you agree to these Terms and our Privacy Policy. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 13 years old to use the Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you confirm that a parent or legal guardian has reviewed and accepted these Terms on your behalf.
3. Your account
You sign in via Google or Apple OAuth. You are responsible for keeping your sign-in credentials secure and for all activity under your account. Notify us immediately at hello@nudge-e.com if you suspect unauthorised access.
4. Permitted use
The Service helps you save Instagram posts and reels into a personal library, get reminders to action them, and review them later. You may use it for personal, non-commercial purposes. You agree NOT to:
- Use the Service to scrape, mass-collect, or redistribute Instagram content beyond what's necessary for your own personal use.
- Reverse-engineer, decompile, or attempt to extract the Service's source code beyond what's expressly permitted by applicable law.
- Use the Service to violate any law, infringe any third party's rights, or transmit malicious code.
- Interfere with the Service's operation or attempt to circumvent rate limits, daily caps, or quota controls.
- Resell, sublicense, or redistribute access to the Service.
5. Free and Premium tiers
5.1 Free tier
The Service includes a free tier that covers core use: saving individual Instagram posts and reels (paste a link or share from Instagram), and Ask Nudgee queries against your own library. Free-tier monthly allowances are shown in-app and on the App Store listing. When you exceed any of these allowances, an in-app upgrade prompt appears at the point of action.
5.2 Premium tier (auto-renewable subscription)
Premium provides the same features at higher monthly allowances. Subscriptions are billed via Apple In-App Purchase and offered as monthly and annual plans. Current Premium allowances and pricing — including any introductory or promotional pricing — are shown in-app and on the App Store at the time of purchase. Apple-localised prices apply in your country. Existing subscribers who joined before any price change keep their original price and allowances for the life of their subscription.
5.3 Auto-renewal
Subscriptions automatically renew at the end of each billing period at the regular price unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged at confirmation of purchase and within 24 hours prior to the end of the current period.
5.4 Cancellation
You can cancel a subscription at any time in your Apple ID settings: iPhone Settings → [your name] → Subscriptions → Nudgee. Cancelling stops future renewals but does not refund the current billing period. You retain access to Premium features until the end of the period you've already paid for.
5.5 Refunds
Refunds for App Store subscriptions are governed by Apple's policies. Submit refund requests via reportaproblem.apple.com. We do not directly process refunds for App Store purchases.
5.6 Overage packs
Premium subscribers who exhaust their bulk-import allowance mid-cycle may purchase a non-renewing overage pack inside the app. Pack size and price are shown at the point of purchase. Overage credits never expire and remain available until fully consumed. They persist across subscription renewals, plan changes, expirations, and refunds — and are only decremented when you save additional content.
5.7 Price changes
We may change subscription prices for future renewals. We'll notify you in-app at least 30 days before any price change takes effect. Continuing the subscription after a notified price change constitutes acceptance.
6. Your content
You retain all rights to the content you create within the Service (notes, reminders, edits to extracted recipe / notes fields). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, and process that content solely to operate the Service for you.
Saved Instagram URLs reference content owned by Instagram users; we do not claim any rights in that third-party content.
7. AI-generated content
The Service uses AI providers to generate summaries, categorisations, notes, and recipes from saved content. These outputs are produced automatically and may be inaccurate, incomplete, or misleading. You are responsible for verifying any factual content (including but not limited to recipes, health claims, financial advice, or instructions) before relying on it. We make no warranty as to the accuracy of AI outputs.
8. Third-party services
The Service interacts with third-party services including Apple, Supabase, RevenueCat, Apify, OpenAI, Anthropic, Google, and Sentry. Your use of those services through the Service is also subject to their own terms. We are not responsible for the availability, accuracy, or content of third-party services, including Instagram itself.
9. Service availability
We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any part of the Service at any time. Material changes will be communicated in-app where practical.
10. Termination
You may stop using the Service and delete your account at any time via Settings → Account → Delete Account. We may suspend or terminate your access to the Service if you breach these Terms, attempt to abuse the platform, or for legal, regulatory, or security reasons. Where reasonably possible we will give notice; in serious cases we may act immediately. Upon termination, your data is deleted in accordance with our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) ₹2,000. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Some jurisdictions do not allow these exclusions; in those jurisdictions our liability is limited to the maximum extent permitted by applicable law.
13. Indemnity
You agree to indemnify and hold us harmless from any claim arising out of your breach of these Terms or your misuse of the Service, except where the claim arises from our wilful misconduct or gross negligence.
14. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notification or email at least 30 days before they take effect. Continued use of the Service after the effective date of an updated version constitutes acceptance.
